Clements Building Pty Ltd (ACN 103 958 514) (Withdrawn from Proceeding - Orders dated 7 August 2007)
Clements v Barlow & Anor (Domestic Building) [2010] VCAT 1113
At all material times the builder [Ian David Clements] was in partnership with Mr Alfred Wayne Wilbur.
Clements and Wilbur, whether as partners or on behalf of the Company, carried out the building work.
Clements agrees that these terms of settlement are without prejudice to the indemnity claim and that Wilbur is at liberty to have the proceedings relisted before Deputy President Aird for the hearing and determination of the indemnity claim, such hearing to take place at an appropriate time in view of the parties' obligations pursuant to these terms of settlement. In the event that it is determined that VCAT does not have jurisdiction to hear and determine the indemnity claim Clements and Wilbur shall be at liberty to issue proceedings in an appropriate jurisdiction to have the subject matter of the indemnity claim determined.
(b) Clements for the debts and liabilities of the partnership, save for any claims with respect to building works against Clements (in which the Partnership and/or the Company received the proceeds) ("Building Works Claims") to the extent that they exceed the balance for the time being remaining in the Contingency Fund.
(a) shall remain open until 31 December 2016 or such time as Clements dies or becomes insolvent, or to an earlier date agreed between Clements, Alfred Wilbur and Fiona Wilbur;
(b) shall be drawn upon only to pay (in the following order):
(i) the balance of the Company's legal costs of the Proceeding to a maximum $15,000.00 within 14 days of submission of an account by the Company's solicitors ...;
(ii) any GST liability arising out of the Partnership's margin scheme, which is warranted by the Wilbur parties not to exceed $2,000.00, and to the extent that such liability exceeds that sum, that liability will be met by the Wilbur parties;
(iii) any Building Works Claims but not claim number D160-2006 in VCAT;
(c) shall be closed and the balance repaid to:
(a) Clements will make no claim upon the Wilbur parties, the Company or the Partnership;
(b) Clements will indemnify the Wilbur parties, the Company and the Partnership with respect to such claims.
... Following the usual practice in the Domestic Building List, rather than lodging a separate application as a cross-claim, the respondent counterclaimed for the estimated cost of rectification works ... An applicant is defined in s3 of the Act as 'a person who makes an application'. An application is defined as 'an application to the Tribunal'. An application fee is payable and was paid. In my view a respondent lodging a counterclaim, instead of a separate application, is clearly making an application.
Any Building works Claims to the extent that they exceed the balance for the time being in the Contingency Fund as provided for in the terms of settlement entered into to settle the Proceedings.
The meaning of the terms of a contractual document is to be determined by what a reasonable person [in the position of the parties] would have understood them to mean. That, normally, requires consideration not only of the text, but also of the surrounding circumstances known to the parties, and the purpose and object of the transaction ...
'Please note that as part of the settlement of the Supreme Court proceedings, I undertook to instruct you to make application for the removal of a Company Clements Building Pty Ltd from VCAT proceedings. You have a copy of the terms of settlement wherein I personally indemnified the Company in that regard.
Therefore I give you those instructions to make such an application to VCAT.
In regard to the VCAT proceedings, and because of the indemnity referred to above, you are further instructed not to take directions or instructions from or to divulge any information to Mr Wilbur or parties related to him unless I so consent.'
[1] Paragraphs 14 and 15 of submission on behalf of second applicant.
