1 Austpac Resources NL held an exploration licence, EL 4521, over an area of land located in Victoria. Part of that area is known as the WIM 150 Heavy Mineral Sands Project (the Project Area).
2 Australian Zircon NL was interested in assessing the feasibility of exploiting deposits of heavy mineral sands located within the Project Area. On 29 January 2004, Austpac and Australian Zircon entered into an agreement by which Australian Zircon could earn an interest in the WIM 150 Heavy Mineral Sands Project (the Project) by completing a bankable feasibility study for conducting mining operations in the Project Area (the FarmIn Agreement). Australian Zircon has yet to earn that interest.
3 On 27 March 2010, Austpac and Astron Limited entered into an agreement (the Sale Agreement) by which Austpac agreed to sell and transfer EL 4521 and to assign its 'right, title and interest in and arising out of [the FarmIn Agreement]' to Astron. Subsequently, Astron agreed to transfer the exploration licence and Farm-in Agreement to its wholly owned subsidiary, WIM 150 Pty Ltd (WIM).
