- By an agreement dated 1st July 1993 the first appellant ("Abound") sold the goodwill of the business it conducted under the names Imports of France and Dynamic Food Machinery, together with other assets, to the respondent ("Bizane"). The second and third appellants, who were directors of Abound, and the directors of Bizane were also parties to the agreement. The former, Messrs Kratzer and Huecherig, were referred to as "the Covenantors" and the latter, Messrs Miller, Martin and Parker, as "the Guarantors". The purchase price was $892,175, made up of $500,000 for goodwill together with values attributed to book debts and stock as at 1st July 1993.
