### sec.446 Additional provisions relating to chief executive officer The board may appoint a person to act as chief executive officer— during a vacancy in the office; or during any period, or all periods, when the chief executive officer is absent from duty or is, for another reason, unable to perform the functions of the office. The chief executive officer may resign by signed notice given to the chairperson. The board may, at any time, terminate the appointment of the chief executive officer for any reason or none. The termination of the appointment of the chief executive officer does not affect a right to which the chief executive officer is entitled under the terms of the chief executive officer’s appointment.
