### sec.621 Conduct of proceedings
The board’s chairperson must preside at all meetings at which the chairperson is present.
If the chairperson is absent, the director chosen by the directors present must preside.
At a board meeting—
a quorum is the number of directors equalling one-half the number of directors on the board plus 1 or, if the number is not a whole number, the next highest whole number; and
a question is decided by a majority of the votes of the directors present and voting; and
each director present has a vote on each question to be decided and, if the votes are equal, the chairperson has a casting vote.
Unless otherwise prescribed under a regulation, the board may conduct its proceedings, including its meetings, as it considers appropriate.
