### sec.42 Conflicts of interest
This section applies if the chief executive officer has an interest that conflicts, or may conflict, with the discharge of the chief executive officer’s functions.
The chief executive officer—
must disclose the nature of the interest and conflict to the board as soon as practicable after the relevant facts come to the chief executive officer’s knowledge; and
must not take action or further action concerning a matter that is, or may be, affected by the conflict unless authorised by the board.
(sec.42-ssec.1) This section applies if the chief executive officer has an interest that conflicts, or may conflict, with the discharge of the chief executive officer’s functions.
