### sec.28 Voting
A question at a board meeting must be decided by a majority of the votes of the board members present at the meeting and able to vote on the question.
Each board member present at a board meeting has a vote on each question to be decided.
A board member who abstains from voting, other than a board member who abstains because of a conflict of interest, is taken to have voted for the negative.
If the votes of the board members present at a board meeting are equal, the board member presiding at the meeting has a casting vote.
The board may hold board meetings, or allow board members to take part in its meetings, by using any technology allowing reasonably contemporaneous and continuous communication between board members taking part in the meetings.
A board member who takes part in a board meeting under subsection (5) is taken to be present at the meeting.
A resolution is validly made by the board, even if it is not passed at a board meeting, if—
notice of the resolution is given under procedures approved by the board; and
a majority of board members agree in writing to the resolution.

- (a) notice of the resolution is given under procedures approved by the board; and
