### sch.4-sec.89 Composition of board
A prescribed GOC subsidiary’s board is to consist of the number of directors that are appointed by the Governor in Council.
In appointing a person as a director, the Governor in council must have regard to the person’s ability to make a contribution to the subsidiary’s commercial performance and the implementation of the statement of corporate intent (if any) of each shareholding GOC of the subsidiary to the extent the statement relates to the subsidiary .
Subsection (1) has effect despite—
the subsidiary’s constitution; and
the Corporations Act .
