### sch.1-sec.8 Quorum and voting at meetings
At a meeting of the interim board—
the required minimum number of directors constitute a quorum; and
a question is to be decided by a majority of the votes of the directors present and voting; and
each director present has a vote on each question arising for decision and, if the votes are equal, the director presiding also has a casting vote.
