### sec.103 Conduct of proceedings
The chairperson of a board committee presides at all board committee meetings at which the chairperson is present.
If the chairperson is absent, the member chosen by the members present is to preside.
At a meeting of a board committee—
a quorum is at least half the members of the board committee; and
a question is decided by a majority of the votes of the members present and voting; and
each member present has a vote on each question to be decided and, if the votes are equal, the member presiding has an additional vote in the form of a casting vote.
A board committee may otherwise conduct its proceedings, including its meetings, as it considers appropriate.
A board committee may hold meetings, or permit members to take part in its meetings, by using any technology that reasonably allows members to hear and take part in discussions as they happen.

A member who takes part in a board committee meeting under subsection (5) is taken to be present at the meeting.
A resolution is a valid resolution of a board committee, even though it is not passed at a board committee meeting, if—
at least half the members give written agreement to the resolution; and
notice of the resolution is given under procedures approved by the board committee.
