### sec.38 Conduct of meetings
Subject to this division, the board may conduct its proceedings, including its meetings, as it considers appropriate.
The board may hold meetings, or allow members to take part in meetings, by using any technology allowing reasonably contemporaneous and continuous communication between persons taking part in the meeting.
A member who takes part in a meeting of the board under subsection (2) is taken to be present at the meeting.
A question at a meeting of the board is to be decided by a majority of the votes of the members present at the meeting.
If the votes are equal, the member presiding has a casting vote.
A resolution is a valid resolution of the board, even though it is not passed at a meeting of the board, if—
at least half the members give written agreement to the resolution; and
notice of the resolution is given under procedures approved by the board.
