### sec.117ZO Board meetings generally
The chairperson may convene a meeting of board members (a board meeting ) as often as is necessary for the performance of the board’s functions.
However, the chairperson must convene a board meeting at least 3 times each year.
The board may hold board meetings, or allow board members to take part in board meetings, by using any technology allowing reasonably contemporaneous and continuous communication between persons taking part in the meeting.
A board member who takes part in a board meeting under subsection (3) is taken to be present at the meeting.
A question at a board meeting is to be decided by a majority of votes of the board members present at the meeting and able to vote on the question.
If the votes are equal, the board member presiding has a casting vote.
A resolution is a valid resolution of the board, even though it is not passed at a board meeting, if—
at least half of the board members give written agreement to the resolution; and
notice of the resolution is given under procedures approved by the board.
The board may invite a person to attend a board meeting for the purpose of advising or informing the board on any matter.
