The Bill substantially broadens and deepens the statutory architecture governing the Container Refund Scheme beyond simply naming an administrator or recording functions. Original, shorter provisions are replaced by a comprehensive appointment, governance and oversight regime that: (a) mandates a not‑for‑profit corporate form and detailed constitution and board composition (s102AE–102AF, 102AG); (b) creates extensive operational obligations (corporate documents, reporting, publication) and explicit duties to establish refund points where the private market does not (s102BO–102BK); (c) centralises price‑setting and template terms for scheme agreements with statutory effect (s102AS(1)(b)(iii)–(v), 102BX); (d) increases executive and enforcement interaction by permitting the Organisation to investigate and report non‑compliant manufacturers to the chief executive (s102AM); (e) grants broad Ministerial intervention powers including immediate suspension, appointment of special managers/administrators and recovery of Department costs from the Organisation (s102CG–102CK, 102CL–102CW, s99ZZA); and (f) imposes criminal‑history screening and confidentiality duties (102DB–102DC, 99ZZB). Those additions move the law from a framework that identified an administering body and basic functions to a micromanaged model specifying corporate form, governance, accountability, interventions and market‑management tools."},"complexity_factors":["Full replacement of an entire Part (chapter 4, part 5) with detailed provisions (sections 102AA–102DD) introducing numerous new duties and processes","Extensive appointment, amendment and renewal procedures with multi‑step assessment and Minister/chief executive roles (102AQ–102BG)","Many defined terms and cross‑references (new schedule changes; Minister approval of directors and chair; limits on terms and total years served (s102AF–102AH, 102AG). \n- Gives the Organisation explicit functions: run the scheme, maintain a network of container refund points, set payments and payment methods, enter into container recovery/collection/material recovery agreements, identify and report non‑compliant manufacturers, and support relevant infrastructure and community programs (s102AK–102AM). \n- Creates an application, assessment and appointment process (invitation, application contents, chief executive assessment, Minister decision, conditions, term up to 7 years) and procedures to amend or renew the appointment (s102AQ–102BG). \n- Imposes operational and transparency obligations on the Organisation: must not act unfairly, must implement plans submitted in its application, must establish refund points where communities lack access and no private operator is available, must prepare a set of corporate documents annually (budget, strategic plan, operational plan, statement of corporate intent, etc.), produce quarterly and annual reports, publish many documents online, and retain records (s102BI–102CD, 102CE, 102BU–102BV). \n- Strengthens Ministerial oversight: the Minister may issue statements of expectations, give written directions the Organisation must follow, require corporate documents to be agreed, and direct modifications (s102BM–102BN, 102BP–102BS). \n- Provides sanctions and intervention tools for the Minister where the Organisation is unsuitable or non‑compliant: impose or change conditions, appoint a special manager, appoint an administrator, suspend (short term or extended) or cancel the appointment (s102CG–102CK). \n- Details powers, duties and limits for special managers and administrators, including information‑gathering powers and penalties for obstruction (s102CL–102CW, 102CS–102CW). \n- Enables a transfer/regulation route for replacing the Organisation and transferring assets, liabilities, contracts and employees between organisations (s102CX–102DA). \n- Introduces confidentiality duties for persons who obtain personal information in relation to scheme administration, and for criminal history information obtained by the chief executive, with penalties for misuse (99ZZB, 102DC). \n- Allows the Department to ask the Organisation to pay costs the Department incurs for the scheme; amounts so requested are recoverable as a debt (s99ZZA). \n- Adds transitional provisions to bring an existing Organisation into the new regime over specified timeframes (s338–346).\n\n**Who this affects (directly and indirectly)**\n\n- Beverage manufacturers (large and small): required to enter container recovery agreements and pay amounts to fund the scheme; the Organisation sets amounts and collection/ recovery arrangements (s102AK(2)(c)–(d), s102AS(1)(b)(iii)). \n- Operators of container refund points and material recovery facilities: their relationships, payments and contracting terms are governed by scheme/template agreements the Organisation produces (s102AS(1)(b)(iv)–(v), s102BX). \n- The appointed Organisation (the not‑for‑profit company), its members, directors, executive officers, employees and contractors: new eligibility, governance, reporting, disclosure and criminal‑history checks apply (s102AE, 102AF, 102DB). \n- The Department, Minister and chief executive: receive reporting, may approve documents, direct the Organisation, appoint managers/administrators and recover costs (s102BN, 102BP–102CC, s99ZZA). \n- Communities and local governments: may gain new, statutory backstops to access container refund points where the market does not provide them (s102AL, s102BK). \n- Social enterprises, recyclers and infrastructure providers: specifically named as potential recipients of support under the Organisation’s functions (s102AK(2)(i)–(j)).\n\n**Why it matters (claimed purpose and how the bill achieves it)**\n\n- The explanatory framing in the Bill is to strengthen governance, transparency and operational reliability of the CRS by placing the scheme administrator in a clearly defined, accountable statutory role and giving the Minister oversight and intervention tools (see s102AA, s102BM–102BN). \n- The bill implements that framing by: mandating an appointed not‑for‑profit company with a specified board composition and Minister‑approved directors (s102AE–102AG); imposing specific operational obligations and public reporting (s102BO–102BV, 102CE); and preserving tools to manage failure or risk (s102CG–102CK, 102CL–102CW). \n\n**Trade‑offs, costs and likely behavioural effects — concrete mechanisms**\n\n- Who pays: manufacturers fund the scheme through container recovery agreements (s102AK(2)(c)). The Organisation’s compliance and reporting duties (many prescriptive obligations) will increase its operating costs; those costs are likely to be recovered from manufacturers through scheme charges or by seeking payments (s102AK(2)(d), s99ZZA). \n- Compliance and administrative burden: the Organisation must prepare multiple corporate documents annually, publish wide‑ranging information online, supply quarterly and annual reports, submit to audits and maintain records for 7 years (s102BO–102BP, 102BU–102BV, 102CB–102CC, 102CD–102CE). Those obligations increase ongoing administrative and legal costs for the Organisation and, indirectly, for scheme participants if costs are passed on. \n- Ministerial discretion and decision‑making: the Minister approves the Organisation, appoints and may withdraw approval of directors, may give binding directions and can impose sanctions including appointment of external managers or administrators (s102AD, 102AG(2), 102AI, 102BN, 102CG–102CK). This concentrates decisive authority in the Minister and creates compliance risk where operational choices may be subject to direction. \n- Market substitution risk and backstop service provision: the Organisation must establish container refund points in a community if private operators are not identified (s102BK). That creates a statutory backstop that may shift some operational risk from private operators to the Organisation (and ultimately to manufacturers). \n- Contracting and commercial effects: the Organisation sets template terms for scheme agreements and the amounts payable (s102AS(1)(b)(iii)–(v), 102BX). That central role in price setting alters bargaining dynamics for operators and recyclers and constrains contract freedom to the extent templates and standard terms are prescribed (s99Q(5) cross‑references). \n- Transparency vs commercial sensitivity: broad publication obligations (constitutional documents, template terms, corporate documents and remuneration) improve public visibility but require the Organisation to manage commercially sensitive data (s102CE, s102BX). The Bill requires draft policies for handling commercial or sensitive market information to be supplied with the application (s102AS(2)(e)). \n- Enforcement and investigatory overlay: the Organisation must report suspected non‑compliance by manufacturers to the chief executive and may investigate (s102AM). Those reporting duties create an enforcement channel via the Department and increase regulatory interaction for manufacturers. \n- Criminal‑history and confidentiality controls: the chief executive may obtain criminal history reports for executive officers and business associates (s102DB) and strict confidentiality duties apply to both scheme personal information and criminal history information (99ZZB, 102DC), with monetary penalties for improper disclosure. \n\n**Implementation risks and opportunity costs**\n\n- Transition timing: the Bill contains transitional clauses allowing the current Organisation to continue for up to 3 years and to amend constitutions and director terms within set periods (ss339–346). Those staged transitions reduce immediate disruption but prolong uncertainty about the final governance model and may delay reforms the Bill aims to secure. \n- Operational capacity vs compliance load: the detail‑heavy regime (many required documents, audits and Ministerial interactions) risks diverting staff time from field operations (running refund points, contracting collection/recovery) into compliance, reporting and consultation. \n- Capture and representation: the board composition requires industry representation (at least one director for large manufacturers and at least one for small manufacturers) while retaining a majority of independent directors (s102AG). The mechanism gives industry a formal voice in governance but the Minister retains approval power for directors (s102AG(2)–(4)), which limits purely private control but does not eliminate industry influence. \n\n**Net mechanical effect in one sentence**\n\nThe Bill converts the CRS administrator into a statutorily appointed, not‑for‑profit company with prescriptive governance, reporting and operational obligations, increases Ministerial control and intervention powers, and creates statutory backstops and confidential information controls to support running and enforcing the Scheme (see especially s102AD–102AK, s102BK, s102BN, s99ZZA, s99ZZB)."},"summary":{"status_summary":"The Waste Reduction and Recycling (Strengthening the Container Refund Scheme) Amendment Bill 2026 is currently being considered by a committee of the Queensland Legislative Assembly after its introduction.","complexity_score":9,"likely_questions":["Will the current Container Refund Scheme operator be replaced immediately, and how does the transitional period work?","How will the new cost recovery from the PRO affect the refund amount paid to consumers or the fees paid by beverage manufacturers?","What specific outcomes might the government prescribe by regulation under section 102BL, and how will they be enforced?","What happens to existing container refund points and collection agreements during the transition to the new PRO governance?","Can the Minister remove a director without cause, and what recourse does the director or the PRO have?","How does the confidentiality duty affect a member of the public trying to access information about how the scheme is run?","Will small beverage manufacturers face higher costs now that fee limits are set by regulation rather than a fixed formula in the Act?"],"complexity_factors":["Extensive replacement of entire Part 5 with over 70 new sections covering appointment, governance, operations, sanctions, and replacement","Multiple regulatory powers that allow future governments to prescribe outcomes, exclusion of containers, and methods for calculating fees, creating uncertainty","Interlocking definitions and references across the Act, including new terms like 'eligible company', 'corporate document', and 'independent auditor'","Detailed transitional provisions that phase in new requirements over 3 years and 18 months, with retrospective regulation-making power","Complex board composition rules distinguishing independence from the beverage industry and multiple categories of directors","Multiple reporting and audit obligations (quarterly, annual, continuous, board audit, ministerial audit) with varying deadlines and penalties","Sanctions regime with show-cause procedures, immediate suspension, special managers, and administrators, each with separate powers and penalties","Corporations Act displacement clause and interaction with other Acts like the Crime and Corruption Act and Information Privacy Act"],"plain_english_summary":"The Bill overhauls governance of the Product Responsibility Organisation that runs Queensland’s Container Refund Scheme, imposing a prescribed non‑profit company model, ministerial approval of directors and plans, regular reporting, publication requirements, and strong Ministerial directions and replacement powers.
