Variation approved at meeting of interest holders\n(1) If the proponent of a variation of the disclosure statement intends\nthat the proposed variation be put to a meeting of interest holders,\nthe notice under clause 4(1):\n(a) is to include the date, time and place of the meeting;\n(b) is to be accompanied by a form for the appointment of a\nproxy; and\n(c) is to be given to all interest holders at least 21 days before the\ndate of the meeting.\n(2) The proponent of the variation must take reasonable steps to\nensure that the date, time and place of the meeting is reasonably\nconvenient to a majority of the interest holders.\n(3) The quorum for a meeting under this clause is 75% of all interest\nholders, whether present or represented by proxy.\n6. Proxies\n(1) An interest holder who is entitled to attend a meeting of interest\nholders for the purpose of considering a proposed variation to the\ndisclosure statement may appoint a person as a proxy to attend\nand vote for that interest holder at the meeting.\n(2) A proxy appointed to attend and vote for an interest holder has the\nsame rights as the interest holder.\n(3) An appointment of a proxy is to be signed by the interest holder and\nis to include:\n(a) the interest holder's name and address;\n(b) the proxy's name; and\n\nSchedule 6 Model procedure for variation of disclosure statements\nUnit Titles Regulations 2002 42\n(c) the meeting or meetings at which the appointment may be\nused or, if the proxy is a standing proxy, a statement to that\neffect.\n7. Variation approved by circulating resolution\n(1) A proposed variation of the disclosure statement may be approved\nif all interest holders sign a document containing a statement that\nthey approve the resolution to vary the disclosure statement set out\nin the document.\n(2) Separate copies of the document referred to in subclause (1) may\nbe used for signing if the wording of the statement and resolution is\nidentical in each copy.\n(3) If the proponent of a variation of a disclosure statement intends that\nthe proposed variation be put to interest holders by circulating a\ndocument as described in subclause (1), the notice under\nclause 4(1) is to contain a time and date by which, and a place to\nwhich, the document is to be returned.\n(4) An interest holder who does not respond to a document circulated\nunder subclause (1) by the end of the time specified in the notice\nunder clause 4(1) is taken to have approved the resolution to vary\nthe disclosure statement set out in the document.\n8. Amendment of proposed variation\n(1) The proponent of a variation of the disclosure statement may\namend the proposed variation in accordance with this clause.\n(2) A meeting of interest holders called and conducted in accordance\nwith clauses 4, 5 and 6, at which 75% of interest holders are\npresent or represented by proxy, may by ordinary resolution vote to\namend the proposed variation of the disclosure statement.\n(3) The proposed variation as amended may then be approved by\nordinary resolution at that meeting.\n(4) A proposed variation of a disclosure statement that has been put to\ninterest holders by circulating a document in accordance with\nclause 7 may be amended:\n(a) by amending that document, providing the amended\ndocument to all interest holders, and giving them an additional\n21 days after the expiry of the time for return of the original\ndocument in which to return the amended document; or\n\nSchedule 6 Model procedure for variation of disclosure statements\nUnit Titles Regulations 2002 43\n(b) by calling and conducting a meeting of interest holders in\naccordance with clauses 4, 5 and 6 for the purpose of\namending and putting the proposed variation.\n(5) The notice of a meeting called under this clause need not be\naccompanied by:\n(a) a copy of the existing disclosure statement;\n(b) details of compensation or other moneys to be paid to an\ninterest holder who may be adversely affected by the\nproposed variation if amended and approved; or\n(c) details of the manner in which it is proposed that the unit plan\nbe altered, including any necessary alteration to the schedule\nof unit entitlements,\nunless the amendment of the proposed variation alters the previous\nproposed arrangements for compensation or unit entitlements.\n(6) The developer must display prominently on the Building\nDevelopment Parcel:\n(a) if subclause (2) or (4)(b) applies – a copy of the proposed\nvariation as amended, together with the notice of the meeting\nand accompanying documents, until the time for the meeting\nreferred has expired; or\n(b) if subclause (4)(a) applies – the amended document, together\nwith notice of the additional period for return of the amended\ndocument, until the time for return of the amended document\nreferred to in subclause (4)(a) has expired.\n9. Variation must be lodged with Registrar-General\n(1) The variation of a disclosure statement is of no effect unless it is\nlodged with the Registrar-General. (See section 26ZK(8)(b) of the\nUnit Titles Act 1975.)\n(2) A variation of a disclosure statement lodged for registration under\nsubclause (1) is to be accompanied by a statement setting out the\npercentage of interest holders who approved the variation. They supply templates (Schedule 4), procedural models (Schedules 5 and 6), and technical specifications for matters such as: adding or removing land from a units parcel (r 6; Form 1), registering building development plans (rr 12–15; Form 2), converting units into building lots (rr 22–25; Forms 4–5), and registering changes to a corporation’s name (r 26; Form 6).\n\n- They prescribe the contents and presentation of developer disclosure statements (r 14; Schedule 2), require survey plans and valuer-certified schedules of entitlements for building developments (r 13; r 15; r 25), and require a development permit under the Planning Act 1999 to accompany many applications (rr 6, 12, Sched.4 notes).\n\n- They provide default (model) procedures where a developer’s disclosure or plan is silent: a model dispute resolution procedure (Schedule 5) and a model procedure for varying disclosure statements (Schedule 6) apply unless an alternative compliant mechanism is provided in the disclosure statement (rr 17–18).\n\n- They give administrative powers and duties to officials and bodies: the Registrar-General must notify local councils of registered land changes (r 7) and register certain documents and variations (rr 19, 24, Sched.6 r 9); the Minister may appoint an arbitrator with statutory arbitration powers (r 21); the Surveyor-General and licensed surveyors must prepare and sign plans (r 13, Sch 4 notes); valuers must certify entitlement schedules (rr 15, 25).\n\n- They prescribe limited offences and fees: a person must not hinder a referee/arbitrator (r 29) (maximum penalty 100 penalty units); fee to review a by-law by the schemes supervisor is 115 revenue units (r 28A); fees and administrative charges in dispute resolution are set out in Schedule 5 (cl 3).\n\n**Who is affected**\n\n- Developers: must prepare disclosure statements in the approved form, lodge building development plans with surveyor and valuer certification, obtain planning permits, and may be liable to recoverable damages if they fail to complete developments as disclosed (Sched.2 Part C items 3–4).\n\n- Prospective purchasers and lot/unit owners: receive prescribed warnings and disclosure information (r 10; Sched.2), have rights to join/approve variations to disclosure statements under defined procedures (r 18; Sched.6), and may initiate or be subject to the prescribed dispute-resolution process (r 17; Sched.5).\n\n- Management corporations / building management corporations (bodies corporate): must adjust contributions if land in a parcel changes (r 8), can grant specified \"special privileges\" for certain energy-related works (r 27) only after a notice-and-consult process (r 27A), and must follow the administrative and registration formalities set out in the Regulations.\n\n- Professional service providers: licensed surveyors, valuers, legal practitioners and mediators/arbitrators are engaged by the scheme — the Regulations require their signatures, certifications and qualifications (rr 13, 15, Sch 5 cl 1(3)).\n\n- Government officials: Registrar-General, Minister and planning consent authorities have defined notification, registration and arbitration roles (rr 7, 21, Sched.4 notes).\n\n**Why it matters (purpose claims and practical testing)**\n\n- Official purpose: the Regulations operationalise the Unit Titles Act by creating standardised forms, assuring consistent disclosure to purchasers, prescribing technical standards for plans and entitlements, and providing accessible dispute-resolution models (rr 3, 12–15, 17–18, Scheds.2, 5, 6).\n\n- Practical costs and compliance burden: developers and corporations face measurable costs — preparing survey plans, engaging valuers, printing prescribed disclosure statements, complying with notice periods, and possible indemnities/insurance when special privileges are granted (rr 13–15, 27A(4)–(5), Sched.4 notes). Those costs are concentrated (developers, valuers, surveyors) while the benefits of certainty and standardisation are widely diffused (purchasers, owners).\n\n- Incentives and behaviour changes: the Regulations incentivise formal process and professional certification (surveyor/valuer signatures on plans and entitlement schedules). The model dispute procedure requires parties to use arbitration/mediation before litigation (Sched.5 cl 14), which steers disputes toward out-of-court resolution and may reduce court workload. The requirement that arbitrator orders be registrable and enforceable (r 17, Sched.5 cl 13) strengthens enforceability of mediated outcomes.\n\n- Effects on private choice and property rights: disclosure and completion obligations (Sched.2 Part C items 3–4) create statutory remedies for purchasers against developers, which affects contract risk allocation. The rules on granting special privileges for solar and roof modifications (rr 27–27A) impose procedural checks (notice, submissions, indemnity, maintenance obligations) that limit unilateral alterations to common property while enabling specific private improvements subject to corporation approval.\n\n- Administrative discretion and implementation risk: several provisions require official satisfaction (e.g., Surveyor-General satisfaction, Registrar-General registration) or Ministerial appointment of arbitrators (r 21). Those delegation points introduce discretionary elements into otherwise prescriptive procedures and create potential implementation bottlenecks.\n\n**Concrete who-decides/who-pays summary**\n\n- Who pays: developers pay for survey plans, disclosure statement production, valuation certificates and may face damages; parties to a referee dispute share referee fees in equal shares with applicant paying administrative fee (Sched.5 cl 3); review of a by-law costs 115 revenue units (r 28A).\n\n- Who decides: Corporations decide on special privileges by ordinary resolution after prescribed notice (rr 27–27A); Registrar-General decides on registration and lodgement formalities (rr 6–8, 19); the Minister may appoint arbitrators with statutory arbitration powers (r 21); Surveyor-General certifies plans (r 13).\n\n- What behaviour changes: more formalised pre-sale disclosure by developers, mandatory professional involvement (surveyors/valuers), use of prescribed dispute resolution mechanisms before litigation, and a consultative process for owner-led alterations to common property (solar or roof changes).\n\n**Trade-offs and likely implementation issues to watch**\n\n- Concentrated compliance costs on developers and professionals versus broad benefits of standardisation to purchasers (Sched.2, rr 13–15).\n\n- Potential delay or negotiation costs inside corporations when approving special privileges (rr 27–27A) and when varying disclosure statements (r 18; Sched.6) because of notice periods, quorum requirements and possible Ministerial involvement.\n\n- Enforcement and bottlenecks: reliance on Registrar-General registration and Ministerial appointments for arbitration (r 21, r 19, Sched.6 r 9) may create timing risk. The model dispute process binds parties to referee steps before commencing proceedings (Sched.5 cl 14), which may be efficient but requires accessible referees and predictable fees.\n\n(References: regulation and schedule numbers are given in parentheses where relevant.)"},"issue_detection":{"absurdities":[],"contradictions":[]},"summary":{"complexity_score":3,"scope_assessment":{"changed":false,"description":"Insufficient information is available in the provided document to determine whether the scope of these regulations changed from their original intent. They set out the detailed rules for how unit title schemes work in the NT—covering everything from paperwork requirements to dispute resolution.\n\n**Key areas covered:**\n\n- **Changing land boundaries** (Part 3): Rules for adding or removing land from a unit scheme, including required forms, notifying local councils, and adjusting owner contributions.\n\n- **Condominium and building development** (Parts 4 & 6): Detailed requirements for developers creating multi-stage developments. This includes:\n  - Mandatory warning statements for buyers (telling them the development might change or never finish)\n  - Building development plans and disclosure statements\n  - How to calculate \"building lot entitlements\" (a number representing each lot's share of value)\n  - Procedures for resolving disputes between developers and buyers\n  - Converting existing units into building lots for further subdivision\n\n- **Management corporations** (Part 7): Administrative requirements like changing a corporation's name.\n\n- **Special privileges on common property** (Part 8): New rules (added in 2022) allowing owners corporations to grant permissions for solar panels, battery storage, and energy-efficient roof modifications through an ordinary resolution (a simple majority vote), with specific consultation requirements.\n\n- **Miscellaneous matters** (Part 9): Standard consent forms, fees for reviewing by-laws, offences for interfering with dispute referees, and prescribed disputes involving property managers.\n\n- **Forms and procedures** (Schedules): Extensive model forms for applications and consents, plus detailed model procedures for dispute resolution and varying disclosure statements.\n\n**Who it affects:**\n- Property developers in the NT\n- Owners of units and building lots\n- Body corporates and building management corporations\n- Buyers of off-the-plan properties\n- Property managers engaged by corporations\n\n**Why it matters:**\nThese regulations protect buyers in multi-stage developments by ensuring they receive clear warnings and can seek damages if developers don't deliver. They provide structured processes for changing development plans and resolving disputes without immediate court action. The 2022 amendments also make it easier for unit owners to install solar and energy-efficient systems by streamlining approval processes."}},"importantCases":[],"_links":{"self":"/api/acts/unit-titles-regulations-2002","history":"/api/acts/unit-titles-regulations-2002/history","analysis":"/api/acts/unit-titles-regulations-2002/analysis","conflicts":"/api/acts/unit-titles-regulations-2002/conflicts","importantCases":"/api/acts/unit-titles-regulations-2002/important-cases","documents":"/api/acts/unit-titles-regulations-2002/documents"}}
