However, section 13 (Superannuation) has been significantly expanded and modified by later amendments (1999 and 2016). The original subsections were substituted and then omitted entirely, replaced with new provisions restricting the company from establishing new superannuation schemes and requiring compliance with ministerial instructions under the Public Sector Superannuation Reform Act 2016. This has transformed the section from simple transitional provisions into ongoing regulatory controls over the company's superannuation arrangements, extending the Act's reach beyond its original 'transitional and consequential' purpose into permanent governance constraints. Additionally, section 17 was repealed in 2016, indicating scope reduction in some areas while expansion occurred in others."},"complexity_factors":["Multiple defined terms in section 3 (11 definitions including nested definitions for 'property')","Cross-references to companion Act (Metro Tasmania Act 1997) and numerous other Acts including Traffic Act 1925, Tasmanian State Service Act 1984, and Public Sector Superannuation Reform Act 2016","Conditional commencement provisions with two different start dates depending on proclamation","Section 13 has been heavily amended with subsections substituted, inserted, and omitted over time (1999 and 2016 amendments), creating a fragmented legislative history that must be read with amendment annotations","Nested exceptions and savings provisions (e.g., section 12(5) allows alteration of terms 'unless an award, agreement or any other law otherwise provides')","Geographic boundary definitions in Schedule 1 requiring reference to historical local government boundaries (pre-1985 City of Launceston boundaries)","Five schedules containing consequential amendments to other legislation, though the actual amendment text is not included in the provided excerpt (referencing external instruments)"],"plain_english_summary":"**What this legislation does:**\n\nThis Act manages the transition of Tasmania's public bus service from a government trust (the Metropolitan Transport Trust) to a new government-owned company called Metro Tasmania. It is essentially a \"handover manual\" that ensures nothing falls through the cracks when the old organisation is wound up and the new one takes over.\n\n**Key things it covers:**\n\n* **Automatic transfer of assets and debts:** On the day the new company is created (\"incorporation day\"), all the Trust's property, money, equipment, and debts automatically move to the new company. No stamp duty or fees are charged for this transfer.\n* **Staff transfer:** All employees of the Trust automatically become employees of the new company on the same pay and conditions. They keep their accrued leave entitlements (like annual leave and sick leave), and their years of service count as continuous. However, they leave the Tasmanian State Service and become private sector employees of a government-owned company.\n* **Continuation of legal matters:** Any court cases, contracts, or agreements involving the Trust continue seamlessly with the new company substituted in its place.\n* **Temporary operating licences:** The new company is automatically granted the necessary licences to keep running bus services in Hobart, Launceston, and Burnie for three years without needing to apply for new permits.\n* **Governance continuity:** The existing board members of the Trust become the initial directors of the new company.\n* **Superannuation protection:** The company must maintain adequate superannuation (retirement savings) for transferred and former employees.\n* **Cleanup:** The old Metropolitan Transport Act 1954 is repealed, though the old by-laws remain in force temporarily.\n\n**Who it affects:**\n\n* Metro Tasmania employees (former public servants transferred to the company)\n* The new Metro Tasmania company itself\n* Anyone with contracts or legal disputes with the old Trust\n* Passengers using bus services in Hobart, Launceston, and Burnie\n\n**Why it matters:**\n\nWithout this legislation, privatising or corporatising a public service would create chaos—assets would be in limbo, staff would lose their jobs and entitlements, contracts would be void, and buses might not legally be able to operate. This Act provides legal certainty and continuity during a major structural reform of public transport in Tasmania."},"summary":{"complexity_score":3,"scope_assessment":{"changed":false,"description":"Based on the available information, this Act appears to have remained consistent with its original purpose as a transitional and consequential provisions instrument supporting the Metro Tasmania Act 1997.
