Examples include buying medical equipment, funding buildings, education and training, research, prevention programs, patient transport, and subsidised patient parking (s 7).\n- Puts governance arrangements in place: each foundation has a board (s 27), a managing executive officer (s 18) and must perform functions in association with a Hospital and Health Service or Health and Wellbeing Queensland (s 15).\n- Sets out how boards are formed and run: Minister recommends at least six members and one representative from the relevant health board; appointments are made by Governor in Council; terms up to five years; rules on meetings, conflicts of interest, minutes and decision-making (ss 30–46).\n- Gives foundations broad powers to act like a natural person (contracts, trusts, appoint agents) but imposes limits and supervisory conditions for certain financial transactions (ss 16–17, pt 5).\n- Introduces a ministerial approval regime for \"special financial arrangements\" (large or complex transactions such as acquiring businesses, issuing securities, disposing of land, or funding prizes over a monetary threshold) and for derivative transactions (financial hedging) (ss 52–56, 57–61). Approvals may be general (apply across foundations) and must be published (s 56).\n- Requires reporting and registers: foundations must keep a register of ministerial approvals (s 62) and the chief executive must keep and publish a public register of foundations and their objects (s 79). Derivative transactions carry reporting obligations to the Minister (s 55).\n- Puts the foundations within selected existing accountability and corruption frameworks (Financial Accountability Act 2009; Statutory Bodies Financial Arrangements Act 1982 with specified exclusions (s 23); Crime and Corruption Act 2001 (s 24); Collections Act 1966 and Property Law Act 2023 apply in defined ways (ss 25–26)).\n- Gives the Minister and Governor in Council supervisory powers: require information (s 48), be notified of significant concerns (s 47), remove all board members (s 49), and appoint an administrator to act as the board (ss 50–51). The Governor in Council may also remove individual members (s 35).\n- Sets liability and enforcement rules: members who consent to unlawful borrowing can be held personally liable (s 65); criminal penalties apply for false or misleading documents (s 63) and for failing to disclose certain criminal convictions (s 37). Members are protected from civil liability for honest, non-negligent acts (s 81).\n- Provides dissolution, continuity and transitional rules for bodies carried over from the previous 1982 Act, and rules for distributing surplus assets on winding up (pts 7 and 9).\n\n**Who this affects**\n\n- Foundations set up under this Act and their boards, staff and volunteers (ss 12, 18, 80).\n- Hospital and Health Services and Health and Wellbeing Queensland, because foundations must operate in association with them and one seat on each foundation board is taken by the relevant health board (ss 15, 30).\n- Donors and bequest-makers: gifts, devises and bequests are expressly accommodated and treated as charitable for certain other Acts (ss 25–26, 91).\n- Ministers and the Governor in Council: the Act gives them formal recommendation, approval, oversight and removal powers (multiple sections, notably ss 11, 12, 48–51, 56, 61).\n- Funds managers and external advisers who manage foundation assets, because they must follow the approval and reporting rules for certain transactions (ss 64, 53–55).\n\n**Why it matters (stated purpose and practical tests)**\n\n- Officially, the Act \"establishes a legislative framework under which entities may support and improve public health in Queensland\" (s 3). Mechanically, it does that by creating corporate foundations with defined charitable-style objects (s 7), governance, reporting and accountability rules (chs 2–5), and a specific financial control regime for higher-risk transactions (pt 5).\n\n- Who pays and who decides: foundations raise and hold funds (private donors, bequests, investment returns). Decision-makers are primarily foundation boards (ss 14, 28–29) but subject to Ministerial approval for specified financial transactions, oversight requests and emergency intervention (ss 48–56, 59). If a board acts outside borrowing powers, consenting board members can be personally liable (s 65).\n\n- Incentives and trade-offs: the Act gives foundations flexibility to hold and use funds for a range of public-health purposes (s 7) while imposing protective controls over complex financial activity (approvals, publication and reporting — ss 56, 55). That structure concentrates authority over high‑risk financial choices with the Minister (approval and publication), while routine decisions remain with boards. The trade-off is improved central oversight of financial risk versus potential delays or compliance costs for foundations seeking to carry out complex transactions.\n\n- Compliance and implementation risks: foundations must navigate multiple external Acts (Financial Accountability Act, Statutory Bodies Financial Arrangements Act, Crime and Corruption Act, Collections Act, Property Law Act and others referenced in the text) and ministerial approval processes (ss 23–26, 48–56). Those cross-references increase legal and administrative complexity and may require foundations to obtain legal, financial and compliance advice before acting on larger transactions.\n\n- Concentrated benefits and diffuse costs: individuals or organisations benefiting from a foundation’s activity (a hospital, research project or training program) receive direct, concentrated benefits. Costs (administrative overheads, compliance time, potential limitations on investment strategy) fall on the foundation and indirectly on donors or the supported institutions if transactional frictions reduce funds available for programs. Ministerial approval powers create a potential single point where decisions about high-value transactions can be accepted or blocked (ss 56, 59, 61).\n\n- Risk of substitution and unintended consequences: the Act allows foundations to acquire businesses, securities, land and to enter derivatives with approvals (ss 52, 53, 54). If approval processes are onerous, foundations may prefer simpler investments or decline to accept certain gifts, reducing potential support for public health. Conversely, generous approvals without strong reporting could expose foundations (and ultimately the State) to financial risk; the Act manages this by requiring publication and reporting (ss 56, 55, 62).\n\n**Concrete implementation points**\n\n- Before creating a foundation, an applicant applies to the Minister (ss 8–11) and, if satisfied, the Minister recommends a regulation to establish it (s 12).\n- Foundations may be amalgamated or dissolved by regulation; existing foundations under the old 1982 Act continue but must update registers and objects within transition periods (pts 7 and 9, ss 78, 86–89).\n- Ministerial oversight is active: boards must notify serious financial or management concerns immediately (s 47); the Minister can demand documents and share them with third parties to assess a foundation (s 48); the Governor in Council may remove members or appoint an administrator on the Minister's recommendation (ss 49–51).\n\n(For primary references see s 3 (purpose); s 7 (objects); ss 12–17 (status, functions, powers); ss 30–36 (board composition, terms, criminal-history checks); pt 5 (financial rules and approvals); ss 47–51 (oversight and administrators); ss 72–77 (dissolution and distribution).)\n"},"kimi_summary":{"_metrics":{"completionTokens":696},"content_quality":"ok","complexity_score":6,"scope_assessment":{"changed":false,"description":"The legislation remains focused on its original purpose of establishing a framework for hospital foundations to support public health.
