'application' of Commonwealth law. While originally intended as a mechanical adoption statute, it has accumulated extensive transitional provisions (sections 16-43) that create a complex parallel system mapping old Tasmanian law to new applied law. It also includes fee-setting powers, publication mechanisms for consolidated codes, and regulatory powers tied to Ministerial Council approvals. The Schedules have been amended multiple times (as noted in the amendment history), indicating the 'application' mechanism has become a vehicle for ongoing legislative modification rather than a one-off adoption."},"complexity_factors":["Extensive cross-referencing to external legislation (Commonwealth Companies Act 1981, Companies (Fees) Act 1981, and the 1962 Tasmanian Act)","Multiple layers of application: the Act applies Commonwealth law, then modifies it via Schedules 1-3, then applies transitional provisions that map old Act provisions to new Code provisions","21 subsections in section 23 alone, each converting specific old Act powers/orders to new Code equivalents","Conditional logic throughout transitional provisions (e.g., 'if X was done before commencement and Y condition met, then Z applies')","Multiple defined terms in section 3, including recursive definitions ('applied provisions' refers to sections 5 and 6, which themselves refer to external laws)","Schedules contain graphic/image placeholders indicating complex tabular amendments not visible in text","Interaction with inter-governmental Agreement (22 December 1978) creating Ministerial Council with regulatory approval powers"],"plain_english_summary":"This is a Tasmanian law from 1982 that adopts (or 'applies') Commonwealth (federal) company law so that it operates as Tasmanian law. \n\n**What it does:**\n- Takes the federal *Companies Act 1981* and makes it apply in Tasmania as the *Companies (Tasmania) Code*, with specific modifications set out in Schedule 1.\n- Does the same for regulations made under that federal Act (Schedule 2) and for fee regulations (Schedule 3).\n- Sets up a system where Tasmania can charge fees for company registrations and other services, with the money going to the state.\n- Allows the Tasmanian Governor to make regulations to update the applied laws when the federal Ministerial Council (a body of state and federal ministers) approves changes.\n- Contains extensive transitional rules to ensure existing companies, registrations, charges, winding-up proceedings, and appointments under the old *Companies Act 1962* continue smoothly under the new system.\n\n**Who it affects:**\n- All companies registered in Tasmania.\n- The National Companies and Securities Commission (the federal regulator at the time) and the Tasmanian Commissioner for Corporate Affairs.\n- Anyone dealing with company registrations, charges, or compliance in Tasmania.\n\n**Why it matters:**\nThis was part of a national scheme to create uniform company laws across Australia. Instead of each state writing its own company law from scratch, they agreed to apply the federal law with local modifications. This Act is the 'bridge' that makes federal law work as state law in Tasmania, ensuring consistency while preserving state control over certain administrative matters like fee collection."},"summary":{"complexity_score":3,"scope_assessment":{"changed":false,"description":"Based on the available information, the Act appears to have retained its original scope as a cooperative/referral mechanism for applying company laws in Tasmania.
